Terms of Use
Welcome to CVDB (the "Platform"). These Terms of Use ("Terms") constitute a legally binding agreement between you (individually or on behalf of an entity you represent, "User", "you", or "your") and the CVDB Platform operator ("CVDB", "we", "us", or "our") concerning your access to and use of the CVDB mobile application, website, and associated services (collectively, the "Services").
By registering an account, checking the consent boxes, or accessing the Platform, you agree that you have read, understood, and agree to be bound by all of these Terms (structured as Global Terms applicable to all users, followed by Country-Specific Provisions for India). If you do not agree with these Terms, you must not use the Platform.
1. Description of the Services
CVDB is an AI-assisted talent matchmaking platform that connects Job Seekers ("Candidates") with Employers and Hiring Managers ("Recruiters") using automated document parsing and deterministic compatibility scoring.
- For Candidates: The Platform parses uploaded resumes, structures candidate profiles, matches profiles to recruiter job postings, provides a 5-scans-per-day AI Job Match Scanner, delivers weekly market insights, and tracks application pipeline stages.
- For Recruiters: The Platform provides AI job description auto-fill, ranks candidates with ≥40% compatibility across a 6-factor scoring model, manages outreach invitations, and provides an integrated hiring pipeline manager.
2. Eligibility, Registration & Explicit Consent
2.1 Age Eligibility
You must be at least 18 years of age to register for an account. By creating an account, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into a binding contract.
2.2 Mandatory Consent Handshake & OTP Verification
During registration, we record UTC timestamps of your explicit consent to: (a) these Terms of Use, (b) our Privacy Policy and Cookie Policy, and (c) AI Processing of your data. You must also verify ownership of your registered email address via a One-Time Password (OTP) before accessing the Platform.
2.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@thecvdb.com of any unauthorized use of your account.
3. Candidate Terms & Profile Rules
By uploading a resume and creating a Candidate Profile, you agree to the following:
3.1 Data Accuracy & Email Verification Handshake
You warrant that all information provided in your resume, skills, certifications, work history, nationality, work authorization, expected salary, and experience levels is true and accurate. To prevent identity fraud and unauthorized resume uploads, the email address inside your uploaded CV must match your authenticated account email address. Providing fraudulent credentials may result in immediate account termination.
3.2 Consent to AI Parsing, Job Scanner & Profiling
You explicitly consent to our use of enterprise AI APIs to parse your uploaded resume and to evaluate external job descriptions you submit via the AI Job Match Scanner (subject to a fair-use rate limit of 5 scans per day). You also consent to our matching engine scoring and ranking your profile against Recruiter job postings.
3.3 Structured Profile Visibility & Contact Shielding
You understand and agree to how your profile data is displayed to Recruiters:
- Structured Discovery Summary: When your profile scores ≥40% compatibility for an active job, Recruiters can view your structured profile summary (including name, professional headline, skills breakdown, years of experience, expected salary, notice period, relocation preference, availability status, nationality, and work authorization status).
- Anti-Phishing Shield Protection: Your direct personal phone number and original uploaded CV document remain locked and masked unless the Recruiter has completed corporate verification (via a verified corporate email domain or registered Tax ID) and holds an active match quota.
- Visibility Controls & Availability Decay: You may switch your profile to "Hidden" at any time to pause matches. If you do not respond to a pending invitation within 72 hours or remain inactive for 7 days, the system may automatically adjust your availability status to "Open to Work", which you can restore anytime.
- Platform Announcements & Service Notices: CVDB administrators may display in-app system announcement banners or dispatch essential platform update emails to communicate new features, maintenance schedules, or policy updates.
4. Recruiter Terms & Commercial Model
By registering a Recruiter Account and posting job opportunities, you agree to the following:
4.1 Corporate Verification & Anti-Phishing Shield
You agree to provide accurate corporate details. To unlock candidate phone numbers and download evaluated CV documents under our Anti-Phishing Shield, you must authenticate using an official corporate email domain or provide a valid corporate Tax ID (such as GSTIN, CIN, PAN, or equivalent business registration). We reserve the right to suspend accounts that submit false business credentials.
4.2 Pay-Per-CV Match Quota & Fair Billing
When posting a job or requesting additional matches, you specify your desired candidate match quota (minimum 20 matches, maximum 100 matches per job posting). You preview the available candidate pool before activation, and under our Fair Billing policy, your quota applies strictly to qualified profiles (≥40% compatibility) delivered to your discovery feed.
4.3 5-Day Match Hold & Permanent Job Closure
If a newly created job posting has zero qualifying candidates (≥40% match) at the time of posting, it is placed on a 5-Day Match Hold and automatically activates as soon as qualifying candidates register. When you choose to permanently close a job posting, any candidates currently in the "Under Review" stage are automatically concluded and notified with constructive skill-gap feedback.
4.4 Anti-Circumvention & Data Confidentiality
You agree to use candidate profiles and resumes strictly for genuine recruitment evaluation for the posted role. You are strictly prohibited from scraping, reselling, redistributing, or sharing candidate CVs or personal contact details with third parties or external databases, or using shielded profile summaries to circumvent platform verification.
5. Intellectual Property & User Content
5.1 Platform Ownership
The CVDB Platform, including its mobile and web applications, source code, database schemas, UI designs, 6-factor matching algorithms, logos, and branding, is the exclusive intellectual property of CVDB and is protected by applicable copyright and intellectual property laws.
5.2 License to User Content
You retain ownership of the resumes, job descriptions, and profile information you submit ("User Content"). By submitting User Content, you grant CVDB a worldwide, non-exclusive, royalty-free license to host, parse, process, and display such content solely for operating and improving the Platform Services.
6. Disclaimers & Limitation of Liability
The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. CVDB is a matchmaking technology tool and not an employment agency or staffing guarantor. We do not guarantee that candidates will receive job offers or that recruiters will successfully hire, nor do we guarantee the absolute accuracy of user-submitted resumes or job descriptions. To the maximum extent permitted by law, CVDB shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of your use of the Platform.
7. Country-Specific Provisions: India Terms
For users residing or operating in the Republic of India, or for any dispute arising in connection with the Platform, the following specific legal terms apply:
- 7.1 Governing Law & Jurisdiction: These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles. Subject to applicable law, the courts in India shall have exclusive jurisdiction over any disputes arising under these Terms.
- 7.2 Intermediary Compliance (IT Rules, 2021): CVDB operates as an intermediary platform in accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. Users shall not host, display, upload, modify, publish, transmit, store, update, or share any information that:
- Belongs to another person and to which the user does not have any right;
- Is defamatory, obscene, invasive of another's privacy, or unlawful;
- Infringes any patent, trademark, copyright, or other proprietary rights;
- Impersonates another person or falsifies corporate identity/Tax ID credentials; or
- Contains software viruses or malicious code designed to interrupt or limit the functionality of any computer resource.
- 7.3 Digital Personal Data Protection Act, 2023 (DPDPA) Duties: Under Section 15 of the DPDPA 2023, Users in India have a statutory duty not to impersonate another person while providing personal data, not to suppress material information while providing identity particulars, and not to register false or frivolous grievances.
- 7.4 Grievance Redressal Mechanism: In accordance with the IT Rules 2021 and the Consumer Protection (E-Commerce) Rules 2020, if you have any complaints, abuse reports, or grievances regarding content, user conduct, or services on the Platform, please contact our Grievance Officer:
